These terms and conditions are a legal agreement between us and can only be modified with our consent. We reserve the right to change the terms at our discretion by changing them on the website.
This is an ongoing design competition, where winning designs are selected by Split the Atom Ltd and printed on T-shirts to be sold on this website. Winning designs are chosen by Split the Atom Ltd after a review of the ratings and comments the design receives after being displayed on the website. Users of the website will be able to give each design a score from 0-10. This will give the design overall rating. Users of the website will also be able to post comments on the site. Both the overall rating and the comments will play a large part in Split the Atom Ltd choosing the winning designs. This does not mean that Split the Atom Ltd will automatically choose the highest rated design. Decisions made by Split the Atom Ltd will be at its sole discretion and shall be final and binding.
There are no deadlines for the competition. Entrants can submit designs at any time and Split the Atom Ltd sets no date for choosing competition winners, nor is it obliged to determine in advance the amount of winning designs it prints. The prize for a winning designer is £250. This will be paid via cheque, Paypal or international money order.
You should ensure that your competition entry that you send to us is original and does not breach anyone else's rights such as copyright, trade marks or that they are not in any way libellous, obscene, menacing, threatening, offensive, abusive, fraudulent, criminal or that they infringe the rights of other people or are in any way illegal. Remember that the website can be viewed around the world and the competition entries you send to us will be published on the website.
You must make sure you own all the intellectual property rights, including copyright and trade marks, of your competition entry. Make sure there is no legal obligation, contract or other restriction which would prevent you from entering your design in the competition.
If your competition entry is selected by us to be printed on T-shirts, then you automatically assign all rights that you have in this design to us and you authorise us and or any of our authorised agents to modify the competition entry in any way that we think fit. (Any changes are usually colour changes or alterations in scale.) Split the Atom Ltd also retains rights to the design itself for use on the Split the Atom Ltd website, and any Split the Atom Ltd promotional material, both online or offline.
If we select your competition entry for printing, you shall not be permitted to use the same design or to provide any other third party the right to use the same design without our written consent. For the avoidance of doubt you shall be permitted to display and or archive the design in your portfolio of works.
If there are any restrictions as to the use to which we can put the competition entry we must be told in advance and we may have to reject it. We reserve the right to reject any competition entries at our discretion.
All competition entries received will be assumed to be for publication on the website and considered for entering in to our competition and any further use, at its discretion, of Split The Atom Ltd on an exclusive, royalty free, perpetual basis. It is important that you understand this.
Failure by us to enforce a right does not result in waiver of such right.
You may not assign or transfer your rights under this agreement.
Nothing in these Terms is intended to, nor shall it, confer any benefit on a third party whether under the Contracts (Rights of Third Parties) Act 1999 or otherwise.
English law shall apply to these terms, notwithstanding the jurisdiction where you are based. You irrevocably agree that the courts of England shall have exclusive jurisdiction to settle any dispute which may arise out of, under, or in connection with these Terms and for those purposes irrevocably submit all disputes to the jurisdiction of the English courts. The place of performance shall be England.
